Terms & Conditions

By accessing or using the Site or the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy. If you enter into these Terms on behalf of a company or other legal entity, you represent that you are authorized to bind that entity. If you do not agree with any part of these Terms, you must not access or use the Site or the Services.

In these Terms: “MagedIn”, “we”, “us”, or “our” means MagedIn Technology, a company established in Brazil; “you” or “Customer” means the individual or entity that purchases or uses the Services; “Extension” or “Software” means any Magento 2 module, theme, or other software product supplied by MagedIn, including its source code, updates, and documentation; “Order” means a purchase of one or more Extensions or services; “Support Period” means the period during which support and updates are provided for an Extension, as stated on the product page or in your Order; “Licensed Domain” means each production domain for which a license has been purchased; “Composer Repository” means MagedIn’s private, credential-gated repository through which Extensions are delivered; and “Consumer” means a Customer that qualifies as a consumer (consumidor) under the Brazilian Consumer Defense Code (Law No. 8.078/1990, the “CDC”).

Subject to your payment of the applicable fees and your compliance with these Terms, MagedIn grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use each Extension you purchase, solely for your own business or personal use, on the number of Licensed Domains and for the Magento edition and version indicated in your Order or on the product page.

Unless otherwise stated, a single license covers one production Licensed Domain, together with a reasonable number of non-production (staging, development, or test) environments used only to support that Licensed Domain. Extensions are licensed, not sold; MagedIn and its licensors retain all rights not expressly granted to you.

Except as expressly permitted by these Terms or by mandatory law, you shall not, and shall not permit any third party to:

• copy, distribute, resell, rent, lease, sublicense, publish, or otherwise make an Extension or its source code available to any person outside your organization;
• use an Extension on any domain or installation for which a license has not been purchased;
• share, disclose, or transfer your account, Composer credentials, license keys, or entitlements to any unlicensed party;
• remove, alter, or obscure any copyright, trademark, or proprietary notice contained in an Extension;
• use an Extension, in whole or in part, to build, train, or provide a competing product or service; or
• reverse engineer, decompile, or disassemble any non-source-available component, except to the extent this restriction is prohibited by applicable law.

Any use outside the scope of your license is a material breach of these Terms and an infringement of MagedIn’s intellectual property rights.

Extensions are delivered electronically. Following confirmation of payment, MagedIn provisions access to the applicable Extensions through the private Composer Repository and/or your account. Delivery is deemed complete when repository access or download is made available to you; no physical media is provided. You are responsible for keeping your account and Composer credentials confidential and for all activity that occurs under them.

When you place an Order, you agree to pay the price shown at checkout for each Extension or service. Payments are processed through our third-party payment providers, and MagedIn does not store your full payment-card data. Prices are stated in the currency shown at checkout and, unless stated otherwise, are exclusive of taxes; you are responsible for any taxes, duties, or withholdings applicable to your purchase, other than taxes on MagedIn’s income. If a payment fails, is reversed, or is charged back, MagedIn may suspend or revoke the related licenses, updates, and repository access until the matter is resolved.

MagedIn provides support and software updates for each Extension during its Support Period, as described on the product page or in your Order. Support covers assistance with installation, configuration, and defects that are reproducible on a supported, unmodified Magento installation. Support does not cover custom development, third-party code, server administration, or issues caused by modifications to the Extension or conflicts with other software.

Updates may include bug fixes, security patches, and compatibility or feature improvements, and are generally provided within the same major version. Continued access to support and updates after the Support Period requires renewal at the then-current price. MagedIn is not obligated to maintain compatibility with every environment, third-party extension, or future Magento version.

MagedIn may offer a goodwill refund for an Extension within the refund period stated for that product, provided you have uninstalled and deleted all copies of the Extension and, where reasonably requested, confirm that you have done so. Renewals, support-only fees, and professional or custom-development services are non-refundable, except where a refund is required by law.

Right of withdrawal (Brazilian consumers). If you are a Consumer under the CDC, you additionally have the right, under Article 49 of the CDC, to withdraw from a purchase made online within seven (7) days, and to receive a full refund of the amounts paid, monetarily updated. To exercise this right, contact us using the details below; upon withdrawal, you must cease all use of, and delete, the Extension. Nothing in this section limits any non-waivable refund or withdrawal right you have under mandatory Brazilian law.

The Extensions, the Site, and all related software, source code, designs, text, graphics, logos, trademarks, and documentation are owned by MagedIn Technology or its licensors and are protected by Brazilian and international intellectual property laws. These Terms grant you only the limited license expressly set out above and transfer no ownership to you.

“MagedIn” and related names and logos are trademarks of MagedIn Technology; you may not use them without our prior written consent. If you provide feedback or suggestions about the Services, you grant MagedIn a perpetual, worldwide, royalty-free license to use them without restriction or any obligation to you.

Extensions may operate with, or include, third-party or open-source components that are licensed under their own terms. Those components remain governed by their respective licenses, and where such a license conflicts with these Terms in respect of that component, the component’s license controls for that component only. MagedIn is not responsible for third-party products, services, or websites, including the Magento and Adobe Commerce platforms themselves, and provides no warranty in respect of them.

Except as expressly stated in these Terms and to the maximum extent permitted by applicable law, the Site and the Extensions are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. MagedIn does not warrant that an Extension will meet your requirements or be compatible with every Magento version, environment, or third-party software.

Consumers. Nothing in this section excludes or limits any warranty, guarantee, or right that cannot be excluded or limited under the CDC or other mandatory law applicable to Consumers, including the legal warranty against defects (vícios).

To the maximum extent permitted by applicable law, MagedIn and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Site, the Extensions, or these Terms, even if advised of the possibility of such damages. To the maximum extent permitted by law, MagedIn’s total aggregate liability arising out of or relating to the Services shall not exceed the amount you paid to MagedIn for the Extension or service giving rise to the claim during the twelve (12) months preceding the event.

Consumers. Nothing in this section limits or excludes any liability that cannot be limited or excluded under the CDC or other mandatory Brazilian law; for Consumers, these limitations apply only to the extent permitted by law.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MagedIn Technology and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services in breach of these Terms, your unauthorized distribution or use of an Extension, your violation of any law, or your infringement of any third-party right. This obligation does not apply to the extent a claim results from MagedIn’s own conduct and, for Consumers, applies only to the extent permitted by mandatory Brazilian law.

These Terms apply for as long as you use the Site or the Services. MagedIn may suspend or terminate your access, licenses, and repository access if you materially breach these Terms and, where the breach is capable of cure, fail to cure it within a reasonable period after notice. Upon termination of a license, you must stop using and delete all copies of the affected Extension. Termination does not entitle you to any refund except as required by law and does not relieve you of amounts already due. Provisions that by their nature should survive — including those on intellectual property, restrictions, disclaimers, liability, indemnification, and governing law — survive termination.

MagedIn processes personal data in accordance with the Brazilian General Data Protection Law (Law No. 13.709/2018, the “LGPD”) and our Privacy Policy, which forms part of these Terms. In connection with the Services, MagedIn acts as controller of account, order, support, and related data, processing it to perform our contract with you, to comply with legal obligations, and for our legitimate interests. You may exercise your data-subject rights, and contact our data-protection lead, as described in our Privacy Policy.

MagedIn may update these Terms from time to time. When we do, we will post the revised Terms on the Site and update the “last updated” date. Changes take effect when posted and apply to Orders placed after that date; your continued use of the Site or the Services after changes are posted constitutes acceptance of the revised Terms. Material changes will not be applied retroactively to the disadvantage of Consumers in a manner prohibited by law.

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to its conflict-of-law rules. The parties elect the courts of the district (comarca) of MagedIn’s head office as the competent forum to resolve any dispute arising out of or relating to these Terms. If you are a Consumer under the CDC, this forum election does not deprive you of your right to bring or defend proceedings in the courts of your own domicile, as guaranteed by Brazilian consumer law.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision will be applied to the maximum extent permitted by law. These Terms, together with the Privacy Policy and your Order, constitute the entire agreement between you and MagedIn regarding the Services and supersede prior agreements on the same subject. MagedIn’s failure to enforce any right is not a waiver of it. You may not assign or transfer your rights or obligations without MagedIn’s prior written consent; MagedIn may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for any failure or delay caused by events beyond its reasonable control. These Terms are provided in English; where MagedIn provides a translation for convenience, the English version prevails, except that, for Consumers, information required by Brazilian law to be provided in Portuguese prevails in Portuguese to the extent of any conflict.
